These Terms of Service ("Terms") govern your access to and use of the VoxLinker website, platform, and services. By accessing or using VoxLinker, you agree to be bound by these Terms. Please read them carefully.

VoxLinker ("we", "us", or "our") operates the website www.voxlinker.com and provides Software-as-a-Service products to our business customers (collectively, the "Services"). These Terms of Service ("Terms") govern your access to and use of the VoxLinker website, platform, applications, and services (collectively, the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, "you" and "your" shall refer to that entity.
We reserve the right, at our sole discretion, to modify, amend, or replace these Terms at any time by posting the updated version on this page. The "Last updated" date at the top of this page indicates when these Terms were last revised. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to these or any future Terms, do not use or access the Platform.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS, EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.
The Platform is intended solely for users who are eighteen (18) years of age or older. Any registration by, use of, or access to the Platform by anyone under 18 is unauthorized, unlicensed, and in violation of these Terms.
By using the Platform, you represent and warrant that: (a) you are 18 years of age or older; (b) you have the legal capacity to enter into a binding contract; (c) you are not prohibited from using the Platform under any applicable law; and (d) your use of the Platform does not violate any applicable law, regulation, or obligation to a third party.
To access certain features of the Platform, you may be required to register for an account. In consideration of your use of the Platform, you agree to:

All content on the Platform and available through the Services, including designs, text, graphics, pictures, video, information, applications, software, music, sound, and other files, and their selection and arrangement (the "Platform Content"), are the proprietary property of VoxLinker, its users, or its licensors with all rights reserved.
No Platform Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without VoxLinker's prior written permission, except as expressly permitted herein.
Provided that you are eligible for use of the Platform, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and the Platform Content, and to download or print a copy of any portion of the Platform Content to which you have properly gained access, solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact.
Except for your own User Content (as defined below), you may not upload or republish Platform Content on any Internet, Intranet, or Extranet site, or incorporate the information in any other database or compilation. Any other use of the Platform Content is strictly prohibited.
Such license is subject to these Terms and does not include use of any data mining, robots, or similar data gathering or extraction methods. Any use of the Platform or the Platform Content other than as specifically authorized herein, without the prior written permission of VoxLinker, is strictly prohibited and will terminate the license granted herein.
All VoxLinker graphics, logos, designs, trademarks, service marks, service names, and trade dress are the sole property of VoxLinker and may be subject to state, federal U.S., and international protection.
VoxLinker's trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion, and may not be copied, imitated, or used, in whole or in part, without the prior written permission of VoxLinker.
You represent, warrant, and agree that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on or through the Platform will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights; or contain libelous, defamatory, or otherwise unlawful material.

Without limiting any of the foregoing, you also agree to abide by our Community Guidelines that provide further information regarding the authorized conduct of users on the Platform.
You are solely responsible for the profiles, messages, notes, text, information, advertisements, listings, affiliate links, creative assets, and other content that you upload, publish, or display on or through the Platform, or transmit to or share with other users (collectively, "User Content"). You may not post, transmit, or share User Content on the Platform that you did not create or that you do not have permission to post.
When you post User Content to the Platform, you automatically grant, and you represent and warrant that you have the right to grant, to VoxLinker a revocable, non-exclusive, transferable, fully paid, worldwide license to use, copy, publicly perform, publicly display, reformat, translate, and distribute such User Content for the purposes of operating, providing, improving, understanding, customizing, supporting, and marketing the Platform and our services.
You may revoke the foregoing license and remove your User Content from the Platform at any time. If you choose to remove your User Content, the license granted above will automatically expire; however, you acknowledge that VoxLinker may retain archived copies of your User Content for backup, archival, and audit purposes.
VoxLinker does not assert any ownership over your User Content; rather, as between us and you, subject to the rights granted to us in these Terms, you retain full ownership of all of your User Content and any intellectual property rights or other proprietary rights associated with your User Content.
VoxLinker respects the intellectual property rights of others and prohibits users from uploading, posting, or otherwise transmitting on the Platform any materials that violate another party's intellectual property rights.
If you believe that any material on the Platform infringes upon any copyright which you own or control, you may send a written notification to our designated Copyright Agent:

Your notification must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material; (d) your contact information; (e) a statement that you have a good faith belief that use of the material is not authorized; and (f) a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
The Platform may contain, or you may receive, links to other websites ("Third-Party Sites") as well as information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content").
Such Third-Party Sites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Sites accessed through the Platform or any Third-Party Content posted on, available through, or installed from the Platform, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Sites or Third-Party Content.
Inclusion of, linking to, or permitting the use or installation of any Third-Party Site or Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Platform and access Third-Party Sites or to use or install any Third-Party Content, you do so at your own risk and you should be aware that our terms and policies no longer govern.
Whenever services are available for purchase from VoxLinker, the services shall include specific terms, conditions, and policies applicable to your purchase of services from VoxLinker ("Terms of Sale"). By ordering services from VoxLinker through the Platform, you agree to be bound by and accept the applicable Terms of Sale. The Terms of Sale are subject to change without prior notice at any time, in VoxLinker's sole discretion, so you should review the Terms of Sale each time you make a purchase.
You are solely responsible for your interactions with other users of the Platform. VoxLinker reserves the right, but has no obligation, to monitor disputes between you and other users. We encourage you to resolve disputes directly with other users; however, if you believe another user has violated these Terms, please contact us at support@voxlinker.com.
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information that pertains to your privacy. By using the Platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.
By using the Platform, you are consenting to have your personal data transferred to and processed in the jurisdictions where VoxLinker and its service providers operate, which may include countries with data protection laws that differ from those in your jurisdiction.
THE PLATFORM AND ALL CONTENT, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
VoxLinker does not warrant that: (a) the Platform will be secure, available, or error-free; (b) the information obtained through the Platform will be accurate, reliable, timely, or complete; or (c) any defects or errors will be corrected.
The Platform may be temporarily unavailable from time to time for maintenance or other reasons. VoxLinker assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, or unauthorized access to, or alteration of, user communications or use of the Platform.
You acknowledge that your use of the Platform is at your sole risk and that VoxLinker shall not be responsible for any damages to your computer, mobile device, or other hardware or software, loss of data, or other harm of any kind that may result from your use of the Platform.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VOXLINKER OR ITS DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF VOXLINKER IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, VOXLINKER'S AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO VOXLINKER FOR THE SERVICES DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, BUT IN NO CASE WILL VOXLINKER'S LIABILITY TO YOU EXCEED $1,000.
YOU ACKNOWLEDGE THAT IF NO FEES ARE PAID TO VOXLINKER FOR THE SERVICES, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM VOXLINKER, REGARDLESS OF THE CAUSE OF ACTION.
VoxLinker may terminate or suspend your access to the Platform, delete your profile, and remove any content or information that you have posted on the Platform, for any reason or no reason, at any time in its sole discretion, with or without notice, including if it believes that you have violated these Terms or that you are under 18 years of age.
Upon termination, all rights granted to you under these Terms will immediately cease. You may also terminate your account at any time by contacting us at support@voxlinker.com. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: Proprietary Rights, Disclaimers, Limitation of Liability, Indemnity, Governing Law, and Arbitration.
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS YOU AND VOXLINKER HAVE AGAINST EACH OTHER ARE RESOLVED.
Except for claims that may be brought in small claims court, you and VoxLinker agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the subject matter hereof (each, a "Dispute") shall be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, rather than in court.
Any arbitration shall take place in Los Angeles, California, USA, and shall be conducted in English. The arbitrator shall apply the substantive laws of California and may not apply any choice of law principles that would result in the application of the laws of another jurisdiction. The arbitrator shall have the authority to grant any remedy that would otherwise be available in court, except that the arbitrator may not award punitive damages or any other damages not measured by the prevailing party's actual damages.
YOU AND VOXLINKER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND VOXLINKER AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
Notwithstanding the foregoing, either party may bring an individual action in small claims court. Additionally, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights, confidentiality obligations, or other proprietary rights.
You agree to indemnify, defend, and hold harmless VoxLinker, its subsidiaries and affiliates, and each of their respective directors, officers, agents, contractors, partners, and employees, from and against any loss, liability, claim, demand, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (a) your User Content; (b) your use of the Platform in violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your conduct in connection with the Platform or with other users.
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Platform ("Submissions") provided by you to VoxLinker are non-confidential and shall become the sole property of VoxLinker. VoxLinker shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and VoxLinker regarding the use of the Platform, superseding any prior agreements between you and VoxLinker relating to your use of the Platform.
The failure of VoxLinker to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remainder of these Terms shall remain in full force and effect.
VoxLinker may assign any of its rights or obligations under these Terms to another party without notice or consent. You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without VoxLinker's prior written consent.
You and VoxLinker are independent contractors, and no agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms.
All notices to VoxLinker under these Terms shall be sent to legal@voxlinker.com. Notices to you may be sent to the email address associated with your account or posted on the Platform.
The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
